Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications offered by Wrapped Technologies, Inc. ("Wrapped Health," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

These Terms apply to (a) healthcare providers and clinic staff ("Providers"), and (b) patients and other individuals receiving product recommendation links ("Patients"). Additional terms applicable to each user type are provided in Sections 5 and 5A below.

2. Description of Services

Wrapped Health provides a healthcare technology platform that enables:

  • Healthcare providers to recommend over-the-counter (OTC) products, medical supplies, and wellness items to their patients.
  • Integration with Electronic Health Record (EHR) systems to streamline the recommendation workflow.
  • Secure checkout links sent to patients via SMS or email.
  • Order fulfillment through retail partners.

Important: Wrapped Health is not a healthcare provider and does not provide medical advice. Product recommendations originate from licensed healthcare providers. All products available through our platform are non-prescription, over-the-counter items.

3. User Accounts

Healthcare Provider Accounts

To use our provider platform, you must:

  • Be a licensed healthcare professional or authorized staff member of a healthcare practice.
  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your account credentials.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activities under your account.

Patient Access

Patients access our checkout service through secure, tokenized links sent by their healthcare provider. No account creation is required for Patients. Checkout sessions are temporary and may expire after a limited period.

4. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose or in violation of these Terms.
  • Access or attempt to access accounts or data belonging to others.
  • Interfere with or disrupt the integrity or performance of our services.
  • Attempt to circumvent any security measures or access controls.
  • Use automated means (bots, scrapers, etc.) to access our services without authorization.
  • Transmit any malicious code, viruses, or harmful content.
  • Misrepresent your identity or affiliation with any person or organization.
  • Use our services to send spam, unsolicited communications, or promotional materials.
  • Violate any applicable laws, regulations, or third-party rights.

5. Provider Terms – Consent and Messaging

This section governs your use of the platform as a Provider.

5.1 Provider Consent Obligations

Providers represent and warrant that:

  • They have obtained all legally required patient consents to send product recommendations via SMS, email, or other communication channels enabled by Wrapped Health.
  • They authorize Wrapped Health to deliver such messages on the Provider's behalf.
  • They will only send recommendations to Patients with whom they have an existing clinical relationship.
  • They will comply with all applicable healthcare, privacy, and communication laws and regulations.

When acting under a Business Associate Agreement ("BAA") with a Provider or covered entity, Wrapped Health acts as a Business Associate and processes information solely on behalf of the Provider for permitted healthcare operations. Provider represents and warrants that it has obtained all legally required consents, authorizations, or permissions from Patients to allow Wrapped Health to send transactional healthcare-related messages (including SMS and email) on Provider's behalf. Provider further agrees that any Protected Health Information ("PHI") shared with Wrapped Health is provided in accordance with HIPAA and applicable BAAs.

5.2 Messaging Compliance

Providers agree:

  • Not to upload, submit, or otherwise provide patient contact information to Wrapped Health without appropriate consent.
  • Not to use the platform to send promotional, marketing, or unrelated content.
  • That Wrapped Health may send transactional, healthcare-related messages that the Provider initiates, consistent with applicable law and industry standards.

5.3 Clinical Responsibility

All clinical decisions, including whether a product is appropriate for a Patient, are solely the responsibility of the Provider. Wrapped Health does not practice medicine, does not provide medical advice, and does not determine which products are recommended.

5.4 Healthcare Provider Responsibilities (Additional)

Healthcare providers using our platform agree to:

  • Use the platform only to recommend products that are clinically appropriate for their patients.
  • Maintain appropriate professional licenses and credentials.
  • Comply with all applicable healthcare laws and regulations, including, as applicable, HIPAA and similar privacy laws.
  • Not use the platform to recommend prescription medications or controlled substances.
  • Maintain the confidentiality of patient information accessed through any EHR or other integrations, in accordance with applicable law.

5A. Patient / End User Terms – Consent and Messaging

This section governs your use of the platform as a Patient receiving product recommendation messages.

5A.1 SMS and Email Consent

By receiving a product recommendation link from your healthcare provider through Wrapped Health, you consent to receive transactional messages (including SMS and/or email) related to that recommendation and other care-related communications. Your consent shall be obtained by checking the appropriate consent box on the Notice of Privacy Practices provided by your provider, or by such other means as requested by the provider. See "Consent Obtained Through Your Healthcare Provider" below. Messages may include:

  • A link to the recommended products.
  • Information necessary to access or complete your order.
  • Limited follow-up messages related directly to your provider's recommendation or the associated checkout session.

Message frequency may vary based on your provider's use of the service. Message and data rates may apply.

Consent Obtained Through Your Healthcare Provider

Your healthcare provider is responsible for obtaining any required consent from you before initiating a product recommendation or causing Wrapped Health to send you a transactional message. By receiving a recommendation initiated by your provider, you acknowledge that your provider has obtained such consent and that Wrapped Health is delivering the message as a Business Associate (when applicable) acting on the provider's behalf.

5A.2 Opt-Out

You may opt out of SMS messages at any time by replying:

  • "STOP" to unsubscribe, or
  • "HELP" for assistance.

After you send "STOP," we may send a final confirmation message to acknowledge your opt-out. Once you have opted out, you will no longer receive SMS messages related to that workflow from Wrapped Health, unless you subsequently provide consent again.

5A.3 Nature of Messages

Messages sent through Wrapped Health to Patients:

  • Are transactional and related to your clinical encounter and product recommendations from your Provider.
  • Are not general marketing or promotional campaigns.
  • Are delivered on behalf of your healthcare provider.
  • Do not constitute medical advice, diagnosis, or treatment.

5A.4 No Patient Account Required

Patients do not need to create an account with Wrapped Health. Access is provided through secure, time-limited links sent by the Provider or on the Provider's behalf.

6. Orders and Payments

6.1 Order Processing

Orders placed through our platform are fulfilled by third-party retail partners. Wrapped Health facilitates the order process but is not the seller of record. Product availability, pricing, shipping times, and fulfillment policies are determined by our retail partners.

6.2 Payment Processing

Payments are processed securely through third-party payment processors. We do not store complete payment card information on our servers. All payment transactions are encrypted and subject to the applicable payment processor's terms of service and privacy policy.

6.3 Refunds and Returns

Refund and return policies are determined by the retail partner fulfilling your order. Please refer to your order confirmation or the retailer's website for specific return instructions and contact information.

7. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of Wrapped Technologies, Inc. or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any of our intellectual property without our prior written consent.

8. Third-Party Services

Our platform integrates with and relies upon various third-party services, including EHR systems, payment processors, retail fulfillment partners, and communication providers (such as SMS gateways). Your use of these third-party services may be subject to their own terms of service and privacy policies. We are not responsible for the practices, content, or services of third parties.

9. Disclaimers

Medical Disclaimer

Wrapped Health is a technology platform and does not provide medical advice, diagnosis, or treatment. Product recommendations are made by healthcare providers, not by Wrapped Health. Always follow the instructions of your healthcare provider and consult them with any questions about recommended products.

Service Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

We do not guarantee delivery of messages and are not responsible for delays or failures in transmission caused by carriers or third-party providers.

10. Limitation of Liability

To the maximum extent permitted by law, Wrapped Technologies, Inc. and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our services, regardless of the theory of liability. Our total liability to you for any claims arising from or related to these Terms or our services shall not exceed the amounts paid by you to Wrapped Health in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wrapped Technologies, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our services.
  • Your violation of these Terms.
  • Your violation of any rights of another party.
  • For Providers, any claims related to clinical decisions, product recommendations, or failure to obtain appropriate patient consent.

12. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to access and use our services will immediately cease.
  • We may delete your account and associated data, subject to legal retention requirements.
  • Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive of these Terms.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. General Provisions

**Entire Agreement:** These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Wrapped Technologies, Inc. with respect to your use of the services.

**Severability:** If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

**Waiver:** Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

**Assignment:** You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
